Infusion GB Ltd
Infusion GB is one of the UK's leading tea and herbal drink packaging companies. Founded in 1985, it is a family owned business and fills around 200 million bags of tea and herbal drinks a year at its Gloucester plant, specialising in string, tagged and enveloped teabags, which it supplies to major multiples and the health food trade.
Davies Mayers Barnett has worked with Infusion GB since early 2008, following the successful Management Buy-in by sales and managerial specialists Bruce Stevens and Peter Barry, who were keen to invest in the growing business.
Bruce and Peter have joined forces with Gary Kenna, son of the original founders James and Mary Kenna, further strengthening the management team and allowing James and Mary to retire from the business.
At the time of the Buy-in, Davies Mayers Barnett provided advice on structuring the deal in the most tax efficient way for all stakeholders, none of whom had been involved in such a transaction before.
Since the Buy-in, Davies Mayers Barnett has developed its relationship with Infusion GB, and is now:
- Advisers to the business and individual directors/shareholders
- Advising on all relevant compliance needs
- Attending board meetings to provide 'sounding board' to directors
- Appraising funding requirements and potential solutions for capital investments
Bruce Stevens said: "Mark Minchella and the Davies Mayers Barnett team offered much needed clarity and professionalism to what felt like a complicated transaction. They achieved this by taking each step in a clear, methodical and when needed creative order, creating transparency and trust on both sides.
"Since then they have provided sound independent advice and professional gravitas when negotiating with customers and financial institutions in a very difficult financial market.
"The ability to call on knowledgeable and capable resource has ensured we have hit our business plan targets ahead of schedule and to better effect."
